As a visitor to MORRIS BEAN & COMPANY, you understand and acknowledge that MORRIS BEAN & COMPANY is engaged in research and development of new processes, products and materials in their technology laboratories and product manufacturing facilities, which are proprietary and confidential to MORRIS BEAN & COMPANY.

In your visit to MORRIS BEAN & COMPANY, you may have access to or be exposed to “confidential business information,” including but not limited to proprietary designs, processes, machines, technical information/data, and trade secrets.  Accordingly, you hereby promise and agree, on behalf of yourself and your employer, that you will not use, disclose, or otherwise divulge any of MORRIS BEAN & COMPANY’S confidential business information to which you may have had access or otherwise been exposed.

You have no obligation of confidentiality regarding any information that:  (i)  is generally available to and known in the trade or by the public other than as a result of disclosure by you or your representatives in violation of this Agreement; (ii) was available to you on a lawful non-confidential basis from a source other than MORRIS BEAN & COMPANY or its advisors; (iii) you can document in writing that the information in question was  independently acquired or developed by you without having violated this Agreement; and/or (iv) was disclosed to you by MORRIS BEAN & COMPANY on an expressly non-confidential basis.

Further, we require that you observe all company safety provisions while in our facilities. This includes wearing proper personal protective equipment and staying within marked aisle ways, except as permitted to accomplish the specific tasks associated with your visit.  At all times, you must be accompanied by a MORRIS BEAN & COMPANY representative when visiting our facilities.

The company assumes no liability for any injuries or property damage while on our premises. As such, you expressly acknowledge and assume all risks associated with your visit and agree to hold harmless and indemnify MORRIS BEAN & COMPANY for any damage and/or claims incurred while on our premises.

You hereby agree that your electronic acknowledgment of this Visitor Confidentiality Agreement & Liability Waiver and electronic signature on same is valid, effective, and enforceable.
